Ivy Wang is a senior associate in the Litigation & Dispute Resolution practice in Tanglau’s Hong Kong office. Ivy’s principal area of practice is Restructuring & Insolvency where she has experience in both contentious and transactional matters. Although only qualified in 2019, Ivy has rapidly accumulated wide experience and knowledge in insolvency-related work. She regularly acts for insolvency practitioners, supporting them across the entire spectrum of insolvency work. She consistently demonstrates exceptional efficiency and practicability, while maintaining a high standard of quality.

Experience

  • Acted for trustees under various notes/bonds on enforcement actions against issuers and guarantors, mostly Chinese property developers. The work ranges from issuing acceleration notices, statutory demands, commencing winding-up proceedings to substituting as petitioner.
  • Advised and acted for syndicated lenders under club loans on restructuring the debts, the work includes amending facility agreements, preparing security confirmations, coordinating with local counsel for legal opinions, negotiating amendment terms with opposite counsel.
  • Advised financial institutions on their enforcement options and assisted with appointment of receivers over mortgaged shares and properties, which include a Top-tier class A office building, shares in companies publicly listed in Hong Kong.
  • Advised on, and effecting cross-border preservation, enforcement steps and sale of the secured assets.
  • Advised financial institutions on sale of distressed debts and transfer of securities.

  • Advised insolvency practitioners in all aspects of their practice, particularly on investigation of corporate fraud, assets tracing and recovery, actions against former company officers, cross-border insolvency and corporate restructuring.
  • Acted for insolvency practitioners on a number of insolvency/bankruptcy matters, in particular transaction avoidance related disputes, including successfully represented the joint and several trustees in bankruptcy of a high net worth individual, in setting aside a number of legal charges as transaction at an undervalue. This included challenging certain share transfer as a disposition of property with intent to defraud creditors, resisting application to vary an injunction, objecting automatic discharge from bankruptcy, resisting application to challenge trustees’ decision to reject a proof of debt and assisting in the preparation of a detailed advice and analysis for the purpose of sourcing fundings from third party commercial funders.
  • Represented client in obtaining an interim injunction against the presentation of a winding up petition.
  • Advised and acted for the Joint Provisional Liquidators of a public company which was formerly listed in Hong Kong in having the provisional liquidation in Bermuda and the recognition of their appointment in Hong Kong.
  • Acted for an individual client in setting aside a statutory demand based on both Lasmos approach and bona fide dispute on substantial grounds.
  • Acted for clients in applications for order to convene Annual General Meeting for the past years; to convene Extraordinary General Meeting where one shareholder is missing and the meetings are hence inquorate.
  • Acted for both minority and majority shareholders in a number of shareholder disputes matters.
