Prairie Pe is a counsel in the Real Estate practice in Tanglau’s Hong Kong office.

Prairie Pe focuses on advising clients on corporate real estate transactions and real estate financing. She represents corporations, private equity funds, investment managers, family offices and private investors in a wide range of corporate and commercial matters relating to investments in the real estate sector.

Prairie regularly advises on real estate investments in Hong Kong and Greater China, including acquisitions and disposals of properties by way of asset or share transfer, structuring and formation of joint ventures and distressed asset transactions. Her practice also extends to banking and finance in the real estate industry, advising major banks, financial institutions, corporate borrowers and family offices on financing transactions involving real estate assets.

  • Gaw Capital Partners in its formation of a joint venture with Hengli Investments Holding Group for the acquisition of portions of Cityplaza Three (including 10 high zone office floors and commercial areas) and Cityplaza Four for a consideration of HK$15 billion.
  • Schroders Capital on its formation of a joint venture with Gaw Capital Partners and other consortium partners for the acquisition of Cityplaza One for a consideration of HK$9.845 billion. This was the most expensive office building sold in Hong Kong in 2020 and the deal was recognised as M&A Deal of the Year 2021 by ALB Hong Kong Law Awards.
  • A joint venture between TPG Angelo Gordon and Wang On Properties on its acquisition of Pentahotel at a consideration of HK$2 billion from a renowned property developer in Hong Kong.
  • Wang On Properties on its formation of a joint venture with CIFI Holdings and the HK$1.88 billion acquisition of two commercial buildings on No. 101 and No. 111 King’s Road, North Point, Hong Kong.

  • A private company in Hong Kong on the HK$4.1 billion acquisition of a commercial/retail building in Tsim Sha Tsui, Hong Kong from a 50/50 joint venture between two real estate developers listed in Hong Kong.
  • Canada Pension Plan Investment Board on its acquisition of a minority interest in an off-shore joint venture company from a well-known property developer in Hong Kong and Greater China that beneficially owns an office/retail redevelopment project in Shanghai.
  • A joint venture between Gaw Capital and Morgan Stanley Real Estate Funds on the RMB4 billion disposal of The Metropolitan Plaza in Guangzhou, PRC to Link Real Estate Investment Trust.
  • Kingston Finance Limited as lender’s counsel on various credit facilities secured by real estate assets, including its financing and refinancing to a PRC developer listed in Hong Kong involving securities over the borrower’s head office in Hong Kong.
  • A property developer in Hong Kong as borrower’s counsel on the HK$1.5 billion term loan facility by a leading financial institution in Hong Kong for financing development of luxury houses in two residential sites at the Peak, Hong Kong.
  • A renowned property investor and businessman in Hong Kong as deal counsel and borrower’s counsel on the HK$3.8 billion share acquisition of, and mezzanine financing by a private equity fund for, a development site in Tuen Mun, Hong Kong and the subsequent refinancing.
