Overview

Johnson Ng is a counsel in the Litigation and Dispute Resolution practice in Tanglau's Hong Kong office. He has extensive experience in commercial litigation, international arbitration, banking and security enforcement disputes, shareholders and partnership disputes, tenancy and other real estate disputes, defamation disputes, cryptocurrency related disputes, international trade disputes, various types of contractual disputes, and bankruptcy and winding-up proceedings, many of which involve cross-border and multi-jurisdictional issues. He also acts for clients in regulatory and criminal matters.

Johnson is a solicitor-advocate who has been granted Higher Rights of Audience (HRA) in respect of civil proceedings in both Hong Kong and England & Wales, and he regularly appears in court hearings as an advocate. He is also an accredited general mediator (HKMAAL).

Clients that he advises include banks, major local and multinational corporations, gaming entities, landlords, statutory bodies and individual clients.

Experience

Banking Disputes
  • Acting for major banks in enforcing its securities and rights and successfully obtaining necessary judgments/orders and recovering the debts from their customers through enforcement of the judgments/orders.
  • Acting for banks in relation to default in syndicated loans.
  • Acting for a Middle East bank in a High Court action to enforce a bill of exchange.

Company and Partnership Disputes
  • Acting for an offshore company in relation to a multi-million dispute with a fraudulent buyer of the shares in its subsidiary in a High Court Action and resisting an application for appointing provisional liquidators by the minority shareholder in offshore proceedings.
  • Advising partners of a battery storage business in relation to alleged breaches of fiduciary duty.
  • Acting for a director to make an application for disclosure of accounting records.
  • Acting for professionals in relation to alleged breaches of shareholders’ agreements.
Advocacy
  • Regularly appearing, as solicitor-advocate, in substantive hearings of applications for summary judgment, stay of proceedings, striking out, pre-action discovery, setting aside default judgment, variation of injunction, variation of a restraint order under the Organised and Serious Crimes Ordinance (Cap. 455) to enable enforcement of securities, unless order (for judgment), as well as in bankruptcy and winding-up proceedings and mortgagee actions.
Gaming
  • Acting for gaming entities (from Macau, Singapore and the US) in various gaming-related litigations, including enforcing credit agreements and suing on dishonoured cheques, obtaining ex-parteMareva injunctions, resisting an asset tracing claim, and registering and enforcing foreign judgments in Hong Kong.
International Arbitration
  • Acting for a major multinational corporation and its founder in an HKIAC administered arbitration concerning a multi-million US dollars cryptocurrency mining equipment dispute with its supplier.
  • Acting for a major Chinese corporation in an HKIAC administered arbitration relating to an e-commerce dispute.
  • Acting for clients in arbitration related proceedings such as enforcement of awards in Hong Kong, Mainland China and overseas jurisdictions, stay of proceedings in favour arbitration, and related taxation proceedings.
  • Acting for the Claimant in relation to a gas field development project dispute in an arbitration under the UNCITRAL Rules (administered by SIAC).
  • Acting for the Claimant in an HKIAC administered arbitration relating to debt recovery and working with BVI and US counsel to enforce the award.
Bankruptcy and Winding-Up
  • Acting for the trustee in winding up proceedings in relation to default of multi-million USD global notes by a major listed company.
  • Acting for major banks and gaming entities in bankruptcy and winding-up proceedings from petitioning, attendance at creditors’ meeting, advising on liquidation process to liaising with liquidators.
  • Acting for the director and shareholder of a company in liquidation in an application for permanent stay of winding-up proceedings and related settlement matters. 
Tenancy and Real Estate Disputes
  • Acting for a major statutory body in various tenancy disputes in various High Court actions and Lands Tribunal, including successfully obtaining judgments and possession orders and subsequent enforcement proceedings and in relation to a wide array of disputes from outstanding rents to breaches of various positive and restrictive covenants.
  • Acting for major commercial landlords in Hong Kong in tenancy disputes to recover outstanding rents and possession.
Defamation
  • Acting for various individuals and major institutional clients in various defamation High Court actions (both prosecuting and defending) involving various forms of libel and slander from traditional print media to social media.
  • Advising a media client in relation to publication of articles.
International Trade and Other Contractual Disputes
  • Acting for a garment trading company in its disputes with its suppliers and customers including recovery of sale prices.
  • Acted for major corporations in the local marine industry in defending a contractual dispute and resisting an application for preservation orders.
  • Acting for an agricultural product trading company in its disputes with a customer.
  • Acting for a major retail chain store in Hong Kong to defend an action brought by its former supplier.
  • Acting for a Chinese pharmaceutical company in relation to a multi-million dispute arising from a licence agreement.
Regulatory
  • Acting for a major listed company in relation to investigations by the Securities and Futures Commission.
  • Acting for clients in criminal investigations including attendance at cautioned interviews.
