Overview

Xin Fang is a consultant in the Hong Kong office of Tanglau’s Corporate & Securities practice. She has over ten years of experience practising corporate and commercial law at two international law firms, advising a broad range of clients on international acquisitions, disposals, joint ventures, corporate restructurings and private equity transactions across Asia Pacific, Europe, North America and South America.

In addition to her role at Tanglau, Xin is a full-time Lecturer at the Faculty of Law, The University of Hong Kong.

Xin is dually qualified to practise Hong Kong law and PRC law.

Experience

Mergers & Acquisitions
  • Advised a French listed company on the Asia side of its takeover of another French listed company.
  • Advised a multinational conglomerate on its acquisition of a skincare business that spanned over 60 jurisdictions through a competitive bidding process.
  • Advised a multinational conglomerate on its acquisition of a competing condiment business through a competitive bidding process.
  • Advised a central state-owned enterprise on its acquisition of an overseas port operator.
  • Advised a multinational conglomerate on the sale of its food manufacturing and distribution business in China.

Joint Ventures
  • Advised a Hong Kong listed Chinese state-owned enterprise on its minority invest in a Singapore joint venture with a leading private petrochemical industry player in China.
  • Advised an international music company on its joint venture with a leading technology conglomerate to form a new music label.
  • Advised a listed property developer on the disposal of minority interest in land-holding subsidiaries and formation of joint ventures with a limited partnership controlled by an international financial institution, whose shares are listed on multiple stock exchanges.
  • Acted for an operator of international schools in the formation of two joint ventures with a Thai listed company.
  • Advised a Japanese corporation on buying out its joint venture partner.
Private Equity Investments
  • Advised an international private equity firm on its two-stage indirect acquisition of a PRC distribution business.
  • Advised an international private equity firm on the restructuring, joint venture and acquisition of a company carrying on the manufacturing and distribution of bioactive botanical extract ingredients.
  • Advised an international private equity firm on its acquisition of a supply chain solutions business. The acquisition was part share acquisition and part asset acquisition, and spanned across the United States, Hungary and China.
  • Advised an international hospitality company on its series C funding of a PRC service apartment business.
  • Advised a Japanese listed company on its cornerstone investment in a gaming business.
Energy Projects
  • Advised a Chinese state-owned enterprise on the acquisition of a photovoltaic project in Eastern Europe.
  • Advised a Chinese state-owned enterprise on its hydropower joint venture project in Southeast Asia.
  • Advised a Chinese state-owned enterprise on the internal legal audit of its renewable energy projects in Southeast Asia.
